The Animal Health Legal team partners with regional and country leaders to handle legal inquiries and counsel our Animal Health biopharma and technology solutions businesses. They advise on competition law, contracts, regulatory and promotional matters, litigation, business development, procurement, and supply chain.
The Corporate Legal Group and Office of the Corporate Secretary oversees securities law filings, including SEC/NYSE filings and proxy statements, investor communications, and treasury transactions. The team is also responsible for corporate governance, and shareholder services, as well as managing the annual shareholder meeting and shareholder engagement, supporting the Board of Directors, and administering subsidiaries and related entities.
Corporate Transactions Legal includes groups that handle the following: (1) business development transactions in support of the Company’s scientific mission including acquisitions, divestitures, joint ventures, licensing, and other strategic deals; alliance management support; Global Benefits and Compensation team handling employee and director benefit and compensation plans; Facilities and Asset Management overseeing real estate, site development, and asset transactions; Manufacturing and Research Procurement team handling global supplier relationships and R&D support, including collaborations with clinical research organizations; and the Legal Operations, Innovation & Technology team which supports the operations of the Offices of the General Counsel.
People in the Ethics & Compliance Office (ECO) serve as the voice of ethics and integrity for the Company, making sure it is always top-of-mind with employees and providing counsel when needed. Through its partnership with the business, ECO ensures that Our core values remain steadfast.
Global Litigation defends the company and subsidiaries in product liability, antitrust, class actions, commercial disputes, environmental, and premises matters. Global Investigations conducts confidential internal investigations worldwide. The Labor and Employment team advises on U.S. personnel matters, compliance, labor negotiations, litigation, and agency proceedings. The Environmental Health and Safety (EHS) team provides global EHS legal counsel on compliance, permits, remediation, enforcement, transactions, and dangerous goods transport. Finally, the Merck Manufacturing Division (MMD) Regulatory team supports Manufacturing and Quality with global GMP compliance, inspections, investigations, transaction enablement, and trade regulation.
The Human Health International Legal and Compliance group provide legal and compliance support to our operations outside the U.S. The team advises on a broad spectrum of matters, including innovative initiatives, patient programs, market access, business development transactions, investigations, litigation, labor law, corporate governance, contracts, policy, and commercial activities, and provide support to markets and regions on effective implementation of the company’s compliance programs and initiatives.
The Intellectual Property team secures and protects our global patents, trademarks, and copyrights, enabling research and development, commercialization, and brand strategy across human and animal health. Our attorneys prosecute patents, manage worldwide trademark portfolios, support regulatory activities and business transactions, and lead IP litigation and enforcement actions. The team also engages in advocacy to help shape IP laws that support biopharmaceutical innovation.
The U.S. Commercial and Compliance Legal team advises the Human Health organization and U.S. Compliance on laws affecting the commercialization of prescription drugs, biologics, and vaccines, including fraud and abuse, antitrust, pricing, contracting, and transparency. They also work with U.S. policy teams to help shape the healthcare environment.
The U.S. Regulatory and MRL Legal team advises the Human Health organization, Global Headquarters marketing organization and Global Communications and Policy teams on compliance with laws, FDA guidance, and internal policies affecting the sales and marketing of and communications around prescription drugs, biologics, and vaccines. They also advise MRL on global clinical development from early-stage to late-stage development, including advising on topics relating to product labeling, safety, scientific exchange and engagement, health authority interactions, clinical trial activities, and quality assurance.
